1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the cmpd.health website (the "Site") and the purchase of research compounds offered through the Site. By accessing the Site or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must not access or use the Site.

2. Research Use Only

RUO products are chemical and biological research materials intended exclusively for use in controlled laboratory and research settings by qualified investigators. They are not drugs, food products, dietary supplements, cosmetics, or medical devices. No statement on this Site or in any product documentation constitutes a medical claim or a representation of safety or efficacy for any purpose involving living organisms.

The compounds offered on cmpd.health — including lyophilized peptide blends under the Vialogy brand, BPC-157 + SNAC oral capsule research material, and Aquastat bacteriostatic water — are supplied strictly as research inputs. Aquastat is USP-compliant bacteriostatic water for laboratory reconstitution use; it is not a sterile pharmaceutical product and must not be used in any clinical or consumer-facing context.

3. Eligibility

3.1 Age Requirement

You must be 21 years of age or older to purchase from cmpd.health. By completing a purchase, you represent and warrant that you meet this age requirement. We reserve the right to request verification of age at any time and to refuse or cancel orders where age cannot be confirmed.

3.2 Qualified Researcher Requirement

Products are available only to qualified researchers. For purposes of these Terms, a "qualified researcher" is a person who:

• Is affiliated with an academic institution, government research body, private research laboratory, or independent research enterprise;
• Is acquiring compounds for legitimate scientific investigation in a controlled research setting;
• Has the technical knowledge and infrastructure necessary to safely handle the purchased materials in compliance with applicable regulations; and
• Is not acquiring compounds for resale, redistribution, or any purpose other than research.

By placing an order, you represent and warrant that you are a qualified researcher as defined above. We reserve the right to verify eligibility and to refuse service at our discretion.

3.3 Geographic Eligibility

We ship exclusively within the United States. You must have a valid US domestic shipping address to place an order. We do not accept orders from jurisdictions where the possession or use of any offered research material is prohibited.

4. Prohibited Uses

You expressly agree that you will not:

• Use, administer, or supply any purchased compound to any human being or animal, regardless of context or claimed purpose;
• Represent any compound purchased from cmpd.health as a drug, supplement, food product, medical device, or therapeutic agent;
• Resell, redistribute, or transfer purchased compounds to any party that is not a qualified researcher;
• Use purchased compounds in any clinical, diagnostic, or consumer-facing context;
• Use the Site or compounds for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation;
• Misrepresent your identity, qualifications, or intended use to obtain compounds;
• Reverse-engineer, reproduce, or commercially exploit any proprietary formulation obtained from the Site.

Violation of these prohibitions may result in immediate cancellation of pending orders, termination of access to the Site, and reporting to applicable regulatory authorities.

5. No Medical Claims

Nothing on this Site constitutes medical advice, a recommendation for any clinical or therapeutic protocol, or a representation that any compound is safe or effective for any use involving human or animal subjects. Researchers are solely responsible for compliance with all applicable laws, institutional review requirements, and safety protocols governing their research activities.

cmpd.health makes no representations regarding the outcome of any research conducted using materials purchased through the Site.

6. Orders and Payments

All orders are subject to acceptance by cmpd.health. We reserve the right to decline or cancel any order for any reason, including but not limited to eligibility concerns, suspected misrepresentation, or product availability. Order confirmation does not constitute final acceptance; acceptance occurs when the order ships.

Prices are in US dollars and subject to change without notice. We are not responsible for typographical errors in pricing; orders placed at an erroneous price may be cancelled with a full refund.

7. Certificate of Analysis and Product Quality

Each batch of compound is tested by independent third-party laboratories for purity, identity, microbial contamination, and heavy metals. Certificates of Analysis (COAs) are made available per batch. COAs reflect testing results at time of testing and under specified storage conditions; they do not constitute a warranty of performance for any specific research application.

Compounds must be stored according to the conditions specified on their respective product pages. cmpd.health is not liable for degradation resulting from improper storage or handling.

8. Intellectual Property

All content on this Site — including but not limited to text, design, product descriptions, trade names (including the Vialogy blend series names and Aquastat), graphics, and layout — is the intellectual property of cmpd.health or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, or commercially exploit any content from this Site without our express prior written permission. Limited use for non-commercial research citation, with attribution, is permitted.

9. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CMPD.HEALTH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Research compounds are provided for use by qualified researchers who accept all risk associated with their research activities.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CMPD.HEALTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT YOU PAID TO CMPD.HEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless cmpd.health and its affiliates, officers, directors, employees, and agents from any claim, demand, liability, cost, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Site or purchased compounds; (b) your violation of these Terms; or (c) your violation of any applicable law or third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending final resolution of a dispute.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be reflected by an updated "last updated" date at the top of this page. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
